运作与管理章程

第一章 总  则

  •   中心名称:先进石油技术国际培训咨询中心,英文:InternationalCenter For Advanced Petroleum Technologies,英文缩写:ICAPT。
  •   中心定位:利用美国华人石油学会(以下简称CAPA)高级管理、技术方面的教授专家、国内外石油行业专家以及中国石油大学(华东)(以下简称CUP)办学设施与师资资源,进行石油工业领域(也可以拓宽到能源、化工企业)的技术、管理人员培训、咨询服务与学术研讨。
  •   中心宗旨:凭借CAPA和CUP在石油石化领域丰富的国际化教育资源和全面的石油相关领域科研技术支持,培训具有国际化视野、了解国际石油石化行业相关先进技术与管理的国际化复合型高层次人才。
  •   本中心培训基地:培训中心将在CUP青岛校区和CAPA总部所在地休斯顿设立培训基地。

第二章 中心业务范围

第六条  中心的业务范围:

1、为中国石油工业各领域的高层次技术及管理人员提供优质培训。

2、为中国石油企业提供国际石油工业科技前沿信息咨询服务。

3、针对国内外油气勘探、开发及其相关基础研究、重大难题研究、超前储备研究及科技规划、科技战略搭建交流平台。

4、为石油高校研究生论文撰写、青年教师科研选题及重大科研项目攻关等领域与国际接轨等提供咨询服务和指导。

5、通过不定期举办国际学术会议、研讨会、Workshop等形式的学术活动,促进国内外石油工业领域高水平专家进行互动交流。

6、开展有利于CUP和CAPA可持续发展的其他项目。

 

第三章 中心的组织与管理

第七条  中心设立管理委员会(以下简称管委会),管委会是本中心的决策机构。

1、管委会由CUP和CAPA共同组建,管委会成员不少于五人。

2、首届管委会委员分别由CUP和CAPA双方指定,管委会每届任期三年。根据实际工作开展需要可以延期一年。

3、管委会设主任2人,副主任2人,委员若干名,下设办公室。

4、管委会由主任主持,每学期召开一次会议。经三分之一以上委员提议,可由主席召集临时会议。会议形式可以根据工作需要进行确定。

5、管委会讨论重大事项,应当经三分之二以上委员多数同意方可通过。

第八条  管委会行驶下列职权:

    1、确定中心章程和审核中心规章制度;

2、制定中心发展规划,批准年度工作计划;

3、筹集中心运作经费,审核预算决算;

4、决定其他重大事项。

第九条  本中心下设办公室,负责中心的行政管理和运作工作,行使下列职权:

    1、执行中心的决定;

2、实施发展规划,拟定年度工作计划、财务预算和中心规章制度;

3、聘任和解聘中心工作人员,实施奖惩;

4、组织学术活动、技术培训等;

5、负责中心日常管理工作;

6、管委会交办的其他工作。

第十条  本中心按照工作实际确定学术活动和技术培训形式;

第十一条本中心按照受培训单位要求策划培训项目,配置授课专家,设置课程和教学方案。

第十一条  本中心学员完成学业,经考核合格,由中心颁发结业证书。

 

 

第四章 中心财务管理

第十二条  该中心办学启动基金由中国石油大学(华东)提供。在本中心续存期间,办学启动资金不得撤抽。

第十三条  中心经费来源主要包括:核准的办学范围内开展培训活动的收入;社会、企业及个人资助。中心经费由CUP财务处统一管理,专款专用。

第十四条  中心按照有关规定向参加培训活动的企业或学员收取费用。中心的收费标准和方式按培训项目和实际设置的学习内容和期限确定。

第十四条  中心经费只能用于本章程规定的学术交流、咨询服务和培训活动及中心事业的发展,中心积累只能用于增加培训投入和改善办学条件,不得用于分配,不得用于与中心无关的投资。

第十五条  中心收取的费用根据工作分工以讲课费、差旅费及劳务费的形式支出。

第十六条  中心建立严格的财务管理制度,保证会计资料合法,真实、准确、完整。

 

第五章 修改章程

第十七条  该中心可根据需要或涉及本培训中心有关事项变更内容修改本章程。修改后的章程不得与法律、法规及有关政策规定相抵触。

第十八条  本章程的修改,须经管委会成员审议、表决通过后才能实施。

 

第六章 附则

第十九条 本章程由中心管委会批准执行。
第二十条 本章程的解释权属于中心管委会。
第二十一条 本章程自中心设立之日起生效。

 

The Constitution

Of Sino-US Training and Consulting Center

For Advanced Petroleum Technologies


Chapter I   General Principles

Article 1 The center name shall be Sino-US Training and Consulting Center For Advanced Petroleum Technologies (Abbr. as TCC-APT below)

Article 2  Center positioning: TCC-ACP shall develop consultation service, academic discussion and technological and management training aiming to oil industrial field (also can be broadened to energy, chemical industry), by making use of teaching resources, including senior management and technical experts from Chinese American Petroleum Association (hereinafter referred to as CAPA), experts from petroleum industries at home and abroad and school-running facilities from China University of Petroleum (Huadong) (hereinafter referred to as CUP).

Article 3  Center purpose: TCC-ACP shall train high-level internationalized talents with international vision, understanding of advanced technology and management of petroleum and petrochemical industry, by means of the rich international education resources on the petroleum and petro-chemical industry and petroleum-related scientific research and technical support.

Article 4  Center Training Base: Training base will be separately located in Qingdao Campus of CUP and Houston, headquarters of CAPA.

Chapter II   Center Functions

Article 6  Center functions: TCC-ACP shall:

  • Provide quality training for high-level technical and management personnel of China’s petroleum industries.
  • Offer international petroleum industry science and technology information consulting services for Chinese petroleum enterprises.  
  • Build a platform for communication aiming to domestic and international oil and gas exploration, development and related basic research, major problem research, advanced reserve research and science and technology planning and strategy.
  • Provide advisory services and guidance for graduates thesis writing of petroleum-concerned universities and colleges, young teachers scientific research topics-selecting and major projects research in line with international standards.
  • Promote the interacting of high level experts from domestic and foreign oil industries by hosting international conferences, seminars, Workshop and other forms of academic activities.
  • Develop other programs helpful for the sustainable development of CUP and CAPA.

 

Chapter III   Organization & Administration

Article 7  TCC-ACP shall establish an Administration Committee (hereinafter referred to as Committee ), which is the central decision-making mechanism.

  • The Committee shall organized jointly by CUP and CAPA, and its members shall not be less than five persons.
  • The first Committee members shall be designated respectively by CUP and CAPA. The Committee is elected for a term of three years and can be deferred for extra year according to the actual needs.
  • The Committee shall be composed of the chairman, the vice chairman and several members and shall have an office.
  • The committee shall hold a meeting each semester, hosted by the chairman. The chairman shall have right to convene an interim meeting after the proposal of more than 1/3 members. The form of the meeting may be determined on the basis of the work needs.
  • The discussion of important matters shall be subject to more than 2/3 members’ agreement and be passed through.

Article 8  The Committee shall run the following functions and powers:

  • Determine the centre constitution and audit regulations;
  • Make the center development plan and approve the annual work plan;
  • Raise center operating funds, audit budget and final accounts;
  • Decide on the other important matters.

Article 9  TCC-ACP shall have an office.  The office members shall be appointed by CUP and CAPA, who shall be responsible for the administration and operation of the center and shall exercise the following functions and powers:

  • Execution of the center’s decision;
  • Implementation of the development planning and formulation of the  annual work plans, financial budgets and the rules and regulations of the center;
  • Appointment and dismissal of staff of the center and implementation of reward and punishment;
  • Organization of academic activities and technical training;
  • Being responsible for the daily management work of the center;
  • Being in charge of the other tasks assigned by the Committee.

Article 10  TCC-ACP shall determine the academic activities and technical training in accordance with the actual work.

Article 11  TCC-ACP shall design the training programs, select teaching experts, make curriculum and teaching plans according to training requirements

Article 11  TCC-ACP shall issue Certificate of Completion to the trainees who have finished his studies and passed the appraisal.

 

Chapter IV   Financial Management

Article 12  The starting fund of the center shall be provide by CUP. During the continuing existence of the center, the starting capital shall not be withdrawn.

Article 13  The financial resources of the center shall mainly include: the income of developing the training activities within the approved scope; social, business and personal donations. CUP Financial Office shall be in charge of the financial affairs of the center, with funds of the center as the special funds.

Article 13  TCC-ACP shall charge fees from the enterprises and trainees participating in the training activities in accordance with the related regulations. The charging standards and methods shall be determined according to the actual setting of the training contents and period.

Article 14  TCC-ACP funds could only be used for the academic exchanges, consulting services, training activities and the development of the center. The funds accumulation of the center can only be used for increasing training investment and improving the training conditions, not for distribution and must not be used for independent investment which has nothing to do with the center.

Article 15  TCC-ACP shall pay for lecture fees, travel expenses and labor costs according to the division of work.

Article 16TCC-ACP shall establish the strict system of financial management, to ensure the accounting information legitimate, true, accurate, complete.

 

Chapter V   Amendments of the Constitution

Article 17  TCC-ACP shall amend this Constitution in accordance with the needs or contents modification related with the center. The revised charter shall not be inconsistent with the laws, regulations and relevant policies and rules.

Article 18 Amendment of the constitution shall implement after being reviewed, voted and approved by the members of the Committee.

 

Chapter VI  Supplementary Articles

Article 19  The Constitution shall be approved and executed by the Committee of the Center.

Article 20  The Committee shall be responsible for the explanation of the Constitution.

Article 21  The Constitution shall enter into force from the date of foundation of the center.
